Terms of Service

Last updated: January 2025

Welcome to Accountablo. These Terms of Service (“Terms”) govern your use of the Accountablo service, including our website at https://accountablo.com, Slack integration, WhatsApp integration, and all related features (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, installing our Slack app, messaging our WhatsApp bot, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years of age to use the Service. By using Accountablo, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Service Description

Accountablo is an AI-powered accountability service that helps users complete tasks and meet deadlines through financial commitment mechanisms. The Service is accessible through Slack, WhatsApp, and our website. Key features include:

  • Task creation and management via Slack and WhatsApp
  • AI-powered task breakdown and scheduling
  • Automated reminders and check-ins
  • Financial stakes as a commitment device
  • Time tracking and progress analytics
  • Team accountability features (on applicable plans)

3. Account Terms

  • You are responsible for maintaining the security of your account and all activity that occurs under it.
  • You must provide accurate and complete information when creating your account.
  • You may not use the Service for any illegal or unauthorized purpose.
  • One person or legal entity may not maintain more than one free account.
  • You are responsible for all content and activity associated with your account, including tasks, messages, and payment obligations.

4. Financial Stakes

The financial stake mechanism is a core feature of Accountablo. By using this feature, you explicitly agree to the following:

  • Voluntary commitment: When you create a task with a financial stake, you are voluntarily committing a specified amount of money (the “Stake”) to that task. The default Stake is $5.00 USD. On paid plans, you may adjust the Stake amount within the limits of your plan.
  • Forfeiture conditions: If you fail to complete your task by the specified deadline and have not requested a valid extension, your Stake is forfeited. Forfeiture is automatic and occurs at the deadline time you set.
  • Charitable donation: Forfeited Stakes are donated to verified charitable organizations selected by Accountablo. You will receive a notification identifying the recipient of your forfeited Stake. Accountablo does not retain forfeited Stakes as revenue.
  • No refunds on forfeited Stakes: Once a Stake is forfeited due to a missed deadline, it cannot be refunded. This is by design — the purpose of the Stake is to create a genuine financial consequence for inaction.
  • Payment processing: Stake payments are processed through Stripe. You authorize Accountablo to charge your payment method for forfeited Stakes. You are responsible for ensuring your payment method is valid and has sufficient funds.
  • Dispute resolution: If you believe a Stake was forfeited in error (for example, due to a technical issue with our Service), you may contact us within 7 days of the forfeiture to request a review.

5. Prohibited Uses

You may not use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Submit false, misleading, or fraudulent task completions
  • Attempt to manipulate or circumvent the financial stake mechanism
  • Use automated tools, bots, or scripts to interact with the Service (other than through our official integrations)
  • Harass, abuse, or harm other users, including through team features
  • Transmit malware, spam, or other harmful content through Slack or WhatsApp messages to our bot
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service in any way that could damage, disable, or impair our infrastructure

6. Intellectual Property

The Service, including its design, code, content, logos, and the Accountablo brand and goat mascot, are owned by Accountablo and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

You retain ownership of the content you create through the Service (task descriptions, messages, etc.). By using the Service, you grant Accountablo a limited license to use, store, and process this content solely for the purpose of providing the Service to you.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Accountablo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to Accountablo in the twelve (12) months preceding the claim. This limitation applies to all causes of action, whether based in contract, tort, or any other legal theory.

Accountablo is not responsible for any losses resulting from missed deadlines, forfeited Stakes, or the consequences of failing to complete tasks. The Service is a tool to support accountability, not a guarantee of task completion.

8. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination:

  • Your active subscriptions will be cancelled at the end of the current billing period.
  • Any pending Stakes on active tasks will be resolved according to their deadlines. You may cancel active tasks before their deadlines to avoid forfeiture.
  • Your data will be retained for up to 24 months in accordance with our Privacy Policy, unless you request earlier deletion.

We may suspend or terminate your account at any time if you violate these Terms, engage in fraud, or use the Service in a way that harms other users or our infrastructure. We will make reasonable efforts to notify you before or at the time of suspension.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, sending you a notification via Slack, WhatsApp, or email. Changes to the financial stake mechanism will be communicated at least 30 days in advance.

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
